Terms of Service

1. Agreement to Terms

By accessing or using the PayGate USDT Payment Gateway service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

PayGate provides a non-custodial USDT payment verification service. We monitor blockchain networks for incoming USDT transfers to merchant-provided wallet addresses, verify payment amounts match invoice requirements, and notify merchants via webhooks when payments are confirmed.

Important: PayGate is a verification service only. We do not hold, control, or transfer funds. Payments flow directly from customers to merchant wallets.

3. Eligibility

To use our Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Service under applicable laws
  • Comply with all applicable laws and regulations in your jurisdiction

4. Account Registration

To access the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials and API keys
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

5. Merchant Responsibilities

As a merchant using our Service, you agree to:

  • Provide valid USDT wallet addresses that you control
  • Comply with all applicable laws regarding cryptocurrency transactions
  • Not use the Service for illegal activities, money laundering, or fraud
  • Implement proper security measures for your integration
  • Verify webhook signatures before processing payments
  • Handle customer disputes directly (we do not mediate disputes)
  • Maintain appropriate records of transactions

6. Prohibited Uses

You may not use the Service to:

  • Violate any laws or regulations
  • Engage in money laundering or terrorist financing
  • Process payments for illegal goods or services
  • Infringe on intellectual property rights
  • Distribute malware or engage in hacking
  • Circumvent security measures of the Service
  • Engage in fraudulent activities
  • Process payments for sanctioned entities

7. Fees and Payment

We charge transaction fees as described on our pricing page. Fees are calculated as a percentage of each confirmed transaction. Since we are non-custodial, fees are invoiced monthly in arrears and payable via USDT or other accepted methods.

We reserve the right to modify our fee structure with 30 days notice. Continued use of the Service after fee changes constitutes acceptance of the new fees.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may temporarily suspend the Service for maintenance, upgrades, or other reasons.

Since we are non-custodial, service interruptions do not affect funds in your wallets. Payments received during downtime will still arrive at your wallet; webhook notifications will be queued and delivered when service resumes.

9. Exact Match Policy

Our Service uses exact-match verification. An invoice is only confirmed when a payment matches:

  • The exact network (e.g., USDT_TRC20)
  • The exact wallet address
  • The exact amount to 4 decimal places
  • Received before invoice expiry

We do not handle partial payments, overpayments, or expired invoice payments. Such situations must be resolved directly between you and your customers.

10. Intellectual Property

The Service, including its original content, features, and functionality, is owned by PayGate and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. We do not guarantee the accuracy, completeness, or timeliness of any information provided through the Service.

12. Limitation of Liability

IN NO EVENT SHALL PAYGATE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless PayGate and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PayGate operates, without regard to its conflict of law provisions.

17. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules. You agree to waive any right to participate in class action lawsuits.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PayGate regarding the Service and supersede all prior agreements.
